Refund Policy

TERMS & CONDITIONS

1. Company Information

Lead Eloquence

Sole Proprietorship (Micro-Enterprise under French law)

These Terms & Conditions govern all services provided by Lead Eloquence.

2. Nature of Services

Lead Eloquence provides executive communication, leadership, influence and public speaking advisory services, including:

* Executive Coaching (individual or small group)
* Corporate Training Programs
* Strategic Communication Advisory
* Workshops, seminars, and keynote interventions

All services are delivered either in-person or remotely.

All services are provided as obligation of means, not obligation of results.

3. Contract Formation & Booking Confirmation

No engagement is considered confirmed without written confirmation from Lead Eloquence and compliance with payment terms below.

Acceptance may occur via:

* signed quotation
* email confirmation
* payment of invoice
* booking via approved platform

4. Fees & Payment Terms

4.1 Executive Coaching

* 100% payment is required upfront to confirm any booking.
* No session is reserved without full payment.

4.2 Corporate Training & Advisory Services

Unless otherwise expressly agreed in writing:

* 100% of the total fee is due prior to the intervention date.
* For larger corporate engagements only, Lead Eloquence may accept:
    * 50% deposit upon signature, and
    * 50% due no later than 10 calendar days before delivery.

However, Lead Eloquence reserves the right to require full prepayment at its sole discretion.

No service will be delivered if payment conditions are not fully met.

4.3 Late Payment

Any late payment will automatically result in:

* a fixed penalty of 20% of the total invoice amount
* statutory late payment interest where applicable
* suspension of all current and future services

All recovery costs shall be borne by the client.

Unpaid invoices may be transferred to a third-party debt collection agency.

5. Cancellation, Rescheduling & No-Show Policy

5.1 Executive Coaching

* Rescheduling allowed up to 7 calendar days before the session
* After this deadline, the session is fully due and non-refundable
* No-show = 100% fee due

5.2 Corporate Training & Advisory

* Cancellation more than 15 days before delivery: 50% of total fee remains due
* Cancellation within 15 days: 100% of total fee remains due
* Any postponement is subject to Lead Eloquence availability and may incur additional fees

6. Force Majeure

Neither party shall be held liable for failure or delay caused by force majeure events under French law.

In such cases, services may be rescheduled without penalty.

7. Intellectual Property

All materials, including but not limited to:

* methodologies
* frameworks
* speech structures
* exercises
* presentations
* written or oral content
* recordings (if authorized)

remain the exclusive intellectual property of Lead Eloquence.

The client is granted a limited, non-transferable, non-exclusive license strictly for internal use only.

It is strictly prohibited to:

* reproduce or distribute any content
* share internally beyond authorized participants
* reuse methodologies for training internal teams
* adapt or commercialize any material
* use content for AI training, machine learning or datasets

Any breach may result in immediate termination and legal action.

8. Confidentiality

Both parties agree to strict confidentiality regarding:

* business information
* strategic discussions
* internal processes
* personal data shared during sessions

This obligation remains in force for 5 years after termination of the engagement.

9. Media, Recording & Usage Rights

Unless explicitly authorized in writing by Lead Eloquence:

* recording (audio, video, screenshots) is strictly prohibited
* no content may be published, shared, or redistributed

Any use of Lead Eloquence’s name, image, materials, or content for communication or marketing purposes requires prior written consent.

 

10. Limitation of Liability

Lead Eloquence provides services under an obligation of means.

Under no circumstances shall Lead Eloquence be liable for:

* indirect or consequential damages
* loss of revenue, contracts, or opportunities
* decisions taken by the client following the intervention

Total liability shall in all cases be limited to the total amount actually paid by the client for the service in question.

11. Travel & Additional Costs

For in-person services, additional costs may apply, including:

* travel expenses
* accommodation
* meals
* venue costs

These expenses are subject to prior written approval and invoiced separately.

 

12. Data Protection

Personal data is processed in accordance with applicable data protection regulations (including GDPR where applicable), strictly for administrative and contractual purposes.

13. Governing Law & Jurisdiction

These Terms & Conditions are governed by French law.

Any dispute shall fall under the exclusive jurisdiction of the courts of Paris, France.

14. Priority of Payment

In case of any dispute or disagreement between the parties:

* payment obligations remain fully due and enforceable
* services rendered or booked remain payable in full

No dispute shall suspend payment obligations.
